Next Base Move – Real Estate Referral Agreement

This Agreement (“Agreement”) is made as of the ___ day of ________, 20__ by and between Next Base Move, LLC, a Delaware limited liability company located at 742 S. Governors Ave, Dover, DE 19904, and [Broker/Agent Name], a licensed real estate broker or agent with a principal place of business at [Broker/Agent Address].

1. Referral Arrangement

Next Base Move, LLC agrees to provide [Broker/Agent Name] (“Receiving Agent”) with client referrals who may be interested in buying, selling, or leasing real estate (including but not limited to multiple transactions described above) in Receiving Agent’s assigned territory. Next Base Move, LLC does not guarantee the quantity or frequency of referrals, nor is it obligated to advertise Receiving Agent’s services.

2. Referral Fee

Receiving Agent agrees to pay Next Base Move, LLC a referral fee of 30% of the gross commission earned by Receiving Agent on any completed transaction with a referred client. The referral fee shall be calculated based on the gross commission received prior to any deductions or splits. Payment is due within ten (10) days after the closing of each transaction.

3. Fee on Multiple Transactions

The referral fee applies to each transaction involving the referred client within a two-year period from the initial introduction, covering any sale, purchase, and/or lease. Additional transactions with the same client beyond this period do not obligate a referral fee to Next Base Move, LLC unless agreed upon in writing and/or the referral client re-registers for the service which shall constitute the Referral Period starting over from that date (the Effective Date).

4. Broker Notification and License Requirements

Receiving Agent represents and warrants that they are a licensed real estate broker or agent in good standing and compliant with all applicable real estate laws. Receiving Agent must notify Next Base Move, LLC immediately of any changes in brokerage affiliation, licensure status, or other legal qualifications affecting their practice.

5. Client Confidentiality and Data Protection

Receiving Agent agrees to maintain strict confidentiality regarding any client information received from Next Base Move, LLC and to use such information solely for the purpose of serving the referred client. Receiving Agent will implement reasonable data security measures to protect client information.

6. No Transfer or Assignment of Agreement

Neither party may transfer or assign its rights or obligations under this Agreement without prior written consent from the other party. This Agreement is binding upon and inures to the benefit of each party’s successors and permitted assigns.

7. Term and Termination

This Agreement shall remain in effect for one year from the effective date and will automatically renew for successive one-year terms unless terminated by either party with a thirty-day written notice. ALL Referrals made prior to termination are still bound by this Agreement.

8. Indemnification

Receiving Agent shall indemnify and hold harmless Next Base Move, LLC from any claims, losses, liabilities, or costs arising from Receiving Agent’s services provided to referred clients, including attorney fees incurred in defense of such claims.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed under the laws of the State of Delaware. Any disputes arising from this Agreement shall be resolved exclusively in the courts of Delaware, and the prevailing party shall be entitled to recover reasonable attorney fees.

10. Entire Agreement

This Agreement represents the entire understanding between Next Base Move, LLC and Receiving Agent regarding referral arrangements. No amendments, supplements, or modifications shall be binding unless in writing and signed by both parties.

11. Acknowledgment of Independent Contractor Relationship

Both parties agree that this Agreement does not establish any partnership, agency, or joint venture relationship. Receiving Agent remains an independent contractor and is solely responsible for their representations and services to clients.
